1. Acceptance of terms

These Terms of Service (the "Terms") govern your access to and use of the services offered by OXIVANE LLC ("Lumopay," "we," or "us"). By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you represent that you are authorized to bind that business.

2. Description of service

Lumopay is a technology platform that helps businesses accept card payments under a payment-facilitator model. The underlying payment processing, settlement, and regulated financial services are provided by Stripe and its banking partners. Lumopay is not a bank, and we do not hold deposits or provide banking services. Your use of payment services is also subject to Stripe's applicable terms.

3. Eligibility & accounts

You must be at least 18 years old and operate a lawful business to use the Services. You agree to provide accurate information, to keep your account credentials secure, and to be responsible for all activity under your account. We may suspend or refuse accounts that fail verification or violate these Terms.

4. Fees & payouts

Standard processing is priced at 2.9% + $0.30 per successful card charge unless otherwise agreed in writing. Fees are deducted from transaction amounts before settlement. Payouts to your linked bank account follow the schedule set by our payment processor, and timing may vary based on risk, currency, and banking days. We will give reasonable notice of any change to standard pricing.

5. Acceptable use & prohibited businesses

You may not use the Services for any unlawful, deceptive, or high-risk activity, including the sale of prohibited goods or services, intellectual-property infringement, or transactions designed to evade detection. Prohibited categories follow our processor's restricted-business list and applicable card network rules. We may investigate and act on suspected violations, including holding funds or terminating access.

6. Merchant responsibilities

You are responsible for completing know-your-business (KYB) verification, maintaining accurate business and beneficial-owner information, complying with applicable laws and card network rules, handling customer disputes and refunds, and clearly presenting your own terms and privacy practices to your customers.

7. Intellectual property

The Services, including our software, branding, and documentation, are owned by Lumopay and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms. You retain all rights to your own content and brand.

8. Disclaimers & limitation of liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Lumopay will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim will not exceed the fees you paid to us in the three months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Lumopay and its affiliates from claims, losses, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

10. Termination

You may close your account at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or fail required verification. Provisions that by their nature should survive termination — including fees owed, disclaimers, and limitations of liability — will survive.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The courts located in Delaware will have exclusive jurisdiction over any dispute, subject to any applicable mandatory consumer protections.

12. Changes to terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and, where appropriate, notify you. Continued use of the Services after changes take effect constitutes acceptance.
